1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you and Binary Leap OÜ ("LeapMemory", "we", "us", or "our"), a company registered in Estonia (registry code 16040964, Harju maakond, Tallinn, Lasnamäe linnaosa, Sepapaja tn 6, 15551, Estonia). These Terms govern your access to and use of the LeapMemory platform, including the website, application, APIs, connectors, documentation, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.
If you do not agree to these Terms, you may not access or use the Service.
2. Definitions
"Account" means the user account you create to access the Service.
"API" means the application programming interfaces provided by LeapMemory for programmatic access to the Service.
"API Key" means an authentication credential issued to you, used to access the Service.
"Connector" means an integration that links the Service to an AI assistant or application so that memories can be stored and recalled.
"Credits" means prepaid balance purchased by developer accounts and drawn down by usage of the Service.
"Memory Data" means all conversation content you or your end users submit to the Service, the memories extracted from it, and the associated knowledge graph.
"Memory Store" means an isolated database environment holding Memory Data for you or, for developer accounts, for one of your end users.
3. Account registration
To use the Service, you must create an Account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your Account credentials, including API keys. You are responsible for all activity that occurs under your Account, whether or not authorized by you. You agree to notify us immediately at support@leapmemory.com if you become aware of any unauthorized use of your Account.
You must provide accurate and complete information during registration and keep your Account information current. We reserve the right to suspend or terminate Accounts that contain false or misleading information.
4. Service description
LeapMemory is a long-term memory service for AI assistants and applications. The Service receives conversation content that you or your connected applications submit, extracts structured memories from it, stores those memories in an isolated Memory Store, and returns relevant memories when recalled. The Service is available through the LeapMemory application, connectors for AI assistants, and the API.
5. Plans and billing
The Service is offered under personal subscription plans and, for developers, prepaid Credits. Current pricing, plan limits, and usage rates are published at leapmemory.com/pricing.
All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. By purchasing a subscription or Credits, you agree to Paddle's terms in addition to these Terms.
Paid subscriptions are billed in advance on a recurring basis. Where your plan includes usage beyond its included allowance, additional usage is charged at the rate published on the pricing page and billed through Paddle. All fees are non-refundable except as set forth in our Refund Policy. You are responsible for any applicable taxes, which Paddle will calculate and collect on our behalf.
We reserve the right to modify pricing upon 30 days written notice to your registered email address. Price changes will take effect at the start of your next billing cycle following the notice period.
6. Developer Credits
Developer accounts purchase prepaid Credits, which are drawn down as you use the Service at the rates published on the pricing page. Recalling stored memories does not consume Credits. If your Credit balance reaches zero, ingestion of new content is paused until you add Credits; stored Memory Data remains available.
Credits are a prepaid balance for use of the Service only. They are not money, have no cash value, are not transferable, and cannot be exchanged or redeemed for cash. Credits remain available while your Account is active and are forfeited on Account termination. Purchases of Credits are non-refundable except as set forth in our Refund Policy. You may set spending limits on individual API keys; those limits control usage but do not alter your purchased balance.
7. Free tier
The Free tier provides limited access to the Service at no charge. Free tier accounts are subject to the following conditions: (a) a fixed monthly allowance of stored memories, published on the pricing page, applied as a hard cap; once reached, ingestion of new content is paused until the next monthly cycle; (b) recall of stored memories remains available; (c) we reserve the right to terminate Free tier accounts that have had no activity for 12 consecutive months, subject to 30 days written notice to your registered email address.
8. Memory Data ownership and use
You retain all rights, title, and interest in and to your Memory Data. We do not claim ownership of any Memory Data. We will not access, use, or disclose your Memory Data except as necessary to provide, maintain, and improve the Service, to comply with applicable law, or with your explicit consent. We do not sell, rent, or share your Memory Data with third parties for their own purposes, and we do not use Memory Data to train machine learning models.
If you integrate the Service into your own application, you are responsible for your end users' data: you must have a lawful basis to submit their content to the Service and must provide them with appropriate notice, as described in our Privacy Policy.
9. AI processing
To extract structured memories from submitted content, the Service transmits that content to third-party large language model providers, as described in our Privacy Policy. These providers process the content solely to return extraction results and do not use it to train their models. Extraction is automated: you acknowledge that extracted memories are generated by machine processing of the content you submit and may not capture every detail of that content.
10. Data isolation
Each Memory Store is separated from every other Memory Store at the database level. There are no shared tables, no row-level security policies, and no shared credentials. Each Memory Store operates with its own database and connection credentials, and its contents are not accessible to other users of the Service.
11. Security
All connections to the Service are encrypted via TLS. API requests are authenticated via API keys transmitted in request headers. Passwords are stored as cryptographic hashes and API keys are hashed before storage. We implement rate limiting and IP-based abuse detection to protect the Service, and backups are encrypted at rest.
While we implement commercially reasonable security measures, no system is completely secure. You acknowledge that you are responsible for implementing appropriate security practices within your own applications and for safeguarding your credentials.
12. Availability
We will use commercially reasonable efforts to make the Service available. However, we do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure upgrades, or circumstances beyond our reasonable control. We will use reasonable efforts to provide advance notice of scheduled maintenance.
13. Acceptable use
You agree not to use the Service to: (a) violate any applicable law, regulation, or third-party rights; (b) store or transmit any content that is unlawful, harmful, threatening, abusive, or defamatory, or content that you have no right to store or process; (c) submit personal data relating to another person without a lawful basis to do so; (d) attempt to gain unauthorized access to any part of the Service, other accounts, or other Memory Stores; (e) interfere with or disrupt the integrity or performance of the Service; (f) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (g) use the Service to build a competing product or service; (h) exceed the rate limits or usage limits of your plan; or (i) share API keys or Account credentials with unauthorized parties.
14. Suspension and termination
We may suspend or terminate your access to the Service if: (a) you violate these Terms or the Acceptable Use section; (b) your Account is used in a manner that poses a security risk to the Service or other customers; (c) you fail to pay applicable fees when due; (d) required by applicable law or regulation; or (e) your Free tier account has been inactive for 12 consecutive months, subject to 30 days prior notice.
You may terminate your Account at any time through the application or by contacting support@leapmemory.com. Upon termination, we will retain your data for 30 days to allow recovery. After 30 days, all Memory Data, including memory stores, search indexes, and backups, will be permanently deleted, and any remaining Credits are forfeited.
15. Data deletion and retention
You may delete individual memories or an entire Memory Store at any time through the Service; deleted memories are removed from the primary stores and search indexes. Upon Account termination or cancellation, all Memory Data is retained for 30 days, during which you may request export or restoration by contacting support@leapmemory.com. After 30 days, all data is permanently and irreversibly deleted from our systems, including all memory stores, search indexes, and backups. Further retention details are set out in our Privacy Policy.
16. Intellectual property
The Service, including all software, APIs, documentation, user interfaces, and trademarks, is the property of Binary Leap OÜ and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms. "LeapMemory" and associated logos are trademarks of Binary Leap OÜ. You may not use these trademarks without our prior written consent.
17. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Binary Leap OÜ, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your access to or use of, or inability to access or use, the Service; (b) any unauthorized access to or alteration of your data or transmissions; (c) any third-party conduct on the Service; or (d) any other matter relating to the Service.
Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (i) the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred euros (EUR 100).
18. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, and we do not warrant that memories extracted by automated processing will be complete, accurate, or suitable for any particular purpose.
19. Indemnification
You agree to indemnify, defend, and hold harmless Binary Leap OÜ and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any Memory Data submitted, stored, or processed through the Service.
20. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email to your registered address at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your Account.
21. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms shall be resolved by the courts of Harju County, Estonia.
Before initiating formal proceedings, you agree to attempt to resolve any dispute by contacting us at support@leapmemory.com. We will attempt to resolve the dispute through good faith negotiation within 60 days.
22. General provisions
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Binary Leap OÜ regarding the Service. These Terms may not be assigned or transferred by you without our prior written consent.
